一般貨物出口合同范文

　　貿易合同又稱契約或合約，是進口出口雙方當事人依照法律通過協商就各自的在貿易上的權利和義務所達成的具有法律約束力的協議。

　　(11)保險：按發(fā)票110%保全險及戰(zhàn)爭險。由客戶自理。

　　(12)買方須于__年__月__日前開出本批交易信用證，否則，售方有權：不經通知取消本合同，或接受買方對本約未執(zhí)行的全部或一部，或對因此遭受的損失提出索賠。

　　(13)單據：賣方應向議付銀行提供已裝船清潔提單、發(fā)票、中國商品檢驗局或工廠出具的品質證明、中國商品檢驗局出具的數量/重量簽定書;如果本合同按cif條件，應再提供可轉讓的保險單或保險憑證。

　　(14)凡以cif條件成交的業(yè)務，保額為發(fā)票價值的110%，投保險別以本售貨合同中所開列的為限，買方如要求增加保額或保險范圍，應于裝船前經售方同意，因此而增加的保險費由買方負責。

　　(15)質量、數量索賠：如交貨質量不符，買方須于貨物到達目的港30日內提出索賠;數量索賠須于貨物到達目的港15日內提出。對由于保險公司、船公司和其它轉運單位或郵政部門造成的損失賣方不承擔責任。

　　(16)本合同內所述全部或部份商品，如因 人力不可抗拒的原因，以致不能履約或延遲交貨，售方概不負責。

　　(17)仲裁：凡因執(zhí)行本合同或與本合同有關事項所發(fā)生的一切爭執(zhí)，應由雙方通過友好方式協商解決。如果不能取得協議時，則在中國國際經濟貿易仲裁委員會根據該仲裁機構的仲裁程序規(guī)則進行仲裁。仲裁決定是終局的，對雙方具有同等約束力。仲裁費用除非仲裁機構另有決定外，均由敗訴一方負擔。仲裁也可在雙方同意的第三國進行。

　　(17)arbitration:alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtochinainternationaleconomicandtradearbitrationcommissioninaccordancewiththeprovisionalrulesofprocedurespromulgatedbythesaidarbitrationcommission.thearbitrationshalltakeplaceinbeijingandthedecisionofthearbitrationcommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.arbitrationfeeshallbebornebythelosingparty.orarbitrationmaybesettledinthethirdcountrymutuallyagreeduponbybothparties.
